Moving towards a merger between TU Zdrowie and NEUCA
On May 21, 2021, the President of the Office of Competition and Consumer Protection issued a consent for the acquisition of control by NEUCA S.A. over Pomerania Investments S.A., the sole shareholder of Towarzystwo Ubezpieczeń Zdrowie S.A. with its registered office in Gdynia.
Concurrently, on May 25, Neuca received a notice of amendment to the articles of association of Pomerania Investments S.A. abolishing the preference of preferred shares, thus satisfying the second condition out of the three conditions precedent for the sale of shares in Pomerania Investment S.A.
A decision of the Financial Supervision Commission is still required to close the transaction. According to the concluded agreements, the parties have undertaken to conclude final agreements by September 30 this year.
On January 29, the listed company NEUCA S.A. conditionally acquired a majority stake (50.2%) in Pomerania Investment S.A., thus it has become the major shareholder of TU Zdrowie. This is part of NEUCA’s strategy of steady growth of its share in the healthcare sector. The investment expands the portfolio of the Group, one of the leading players on the Polish health market, with the area of health insurance, previously absent from its product range.
Following the merger, the existing network of medical facilities cooperating with TU Zdrowie will be joined by 68 primary care outpatient clinics. This will provide the Company’s customers with even better access to physicians of various specialties and facilitate the guarantee of short appointment completion times. Cooperation with a new partner in telemedicine and IT development will contribute to sustaining high efficiency of IT solutions, uninterrupted communication between the insured and physicians, quick access to selected medical services as well as to the insurance offer.
A measurable benefit of such cooperation will be that TU Zdrowie will have access to the largest independent network of clinical research centers in Poland, owned by the NEUCA Group. This also applies to the Group’s know-how, which will put TU Zdrowie in a better position to tailor and roll out dedicated health plans for its customers.
